Payments Services Terms
Last Updated: August 8, 2024The following terms (these “Payments Services Terms”) apply to you if you use the Payments Services to accept payments from your Clients. By using the Payments Services, you agree to be bound by these Payments Services Terms. These Payments Services Terms are subject to the Mangomint Terms of Service, available at www.mangomint.com/legal/platform-terms (“General Terms”). Unless otherwise stated, capitalized terms used but not defined in these Payments Services Terms will have the meanings given to them in the General Terms. In the event of any conflict between these Payments Services Terms and the General Terms, these Payments Services Terms will control with respect to the Payments Services.
IF YOU DO NOT AGREE TO THESE PAYMENTS SERVICES TERMS, YOU MAY NOT USE THE PAYMENTS SERVICES.
- Payment Processing Services.
- The Services enable you to accept payments from your Clients. We are not a bank, money transmitter, or other type of financial institution, as defined by the United States Department of Treasury, and we do not provide banking or other regulated financial services. We may facilitate the processing of payment transactions between you and your Clients on your behalf through third parties, including Stripe. This means that we collect, analyze and transmit information in connection with these payments. While Mangomint takes what it believes to be reasonable efforts to ensure secure transmission of information to third parties who assess and process payments, Mangomint is not responsible for any fees or charges assessed by third parties or any errors in the processing of payments by third parties, including any errors that result from third-party negligence, improper transmission of payment information, you or your users’ mistaken submission of payment information or submission of erroneous payment information.
- The fees you pay when using the Payments Services can be found here: https://www.mangomint.com/pricing/. We may, from time to time, revise these fees, subject to 30 days’ prior notice to you via email to the email address we have on file associated with you as the Account Owner. It is your responsibility to ensure you have provided your correct contact information and that you update it as necessary. By continuing to use the Payment Services after any revisions to these fees are effective, you agree to abide and be bound by those revisions. If you do not agree to the revised fees, then you should discontinue your use of the Payments Services or close your Account as provided in the General Terms.
- You may use the Payment Services to accept payments from your Clients through preauthorized transfers, including on a regular or recurring basis (e.g., under a billing agreement, subscription, recurring payment, or automatic payment plan). If you use the Payment Services to receive such types of preauthorized payments from your Clients, you must (i) obtain each Client’s prior authorization for the amount, frequency, and duration of any such payment, (ii) provide a cancellation procedure as simple and accessible to your Clients as signing up, and (iii) provide your Clients the ability to stop any such payment up to 3 business days before the date scheduled for payment. You may not restart future payments through the Payment Services without your Client’s written authorization, if your Client has stopped or canceled a preauthorized payment. Upon any termination or expiration of the Agreement, these Payment Services Terms, or your access to the Services or the Payment Services, in addition to the effect of such termination or expiration as provided in the General Terms, Mangomint will cancel any scheduled or incomplete transactions.
- Authorization; Stripe Terms.
- In order to provide payment processing services, Mangomint works with Stripe. Stripe may require you to agree to their separate terms to enable their provision of payment processing, account operations, and technological connections to third-party partners and banks. You license and authorize Mangomint to access information maintained by Stripe on your behalf as your agent, and you expressly authorize Stripe to disclose your information to Mangomint and Mangomint to share your information with Stripe. In particular, you agree that Stripe may perform any functions on your account that Mangomint is otherwise authorized to perform and that your use of Stripe’s services, and Stripe’s access and use of your information processed in connection with your use of such services may be governed by, to the extent applicable, by the following agreements:
- Payment Processing Services.
- The Stripe Connected Account Agreement – United States available at https://stripe.com/legal/connect-account, if you are located in the United States, or the Stripe Connected Account Agreement available at https://stripe.com/en-ca/legal/connect-account, if you are located in Canada (as applicable, the “Stripe Connected Account Agreement”),
- The Stripe Services Agreement – United States (including all applicable Services Terms) available at https://stripe.com/legal/ssa, if you are located in the United States, or the Stripe Services Agreement — Canada (including all applicable Services Terms) available at https://stripe.com/en-ca/legal/ssa, if you are located in Canada (as applicable, the “Stripe Services Agreement”) (including without limitation any applicable product-related terms therein, e.g. the Stripe Payments Services Terms), and
- The Stripe Global Privacy Policy available at https://stripe.com/privacy (the “Stripe Privacy Policy”, together with the Stripe Connected Account Agreement and the Stripe Services Agreement, the “Stripe Terms”).
- As a condition of Mangomint enabling payment processing services through Stripe, you (i) agree to be bound by the Stripe Terms, as the same may be modified from time to time, (ii) agree to provide Mangomint accurate and complete information about you and your business, and (iii) authorize Mangomint to share with and receive from Stripe the information related to your use of the payment processing services. Without limiting any of Mangomint’s rights or obligations under this Agreement, Stripe or Mangomint may suspend, disconnect, or stop providing any payment-processing related services to you for any reason in accordance with the Stripe Terms or if either party believes it is necessary to do so to protect its services, business, users, or other third parties.
- You are responsible for obtaining authorization to initiate charges or debits to the payment method of your Client, and agree that you shall obtain such authorization in each instance you use Stripe payment processing services through the Mangomint Platform. You shall provide us with evidence of authorization upon request. We shall not be liable for any charges or debits or other failure (or any related costs) arising from your acts and omissions, including failure to obtain authorization of your Client. You shall maintain data sufficient to reconstruct the transaction authorization, and maintain such authorization in accordance with all applicable laws, rules and regulations.
- You agree to abide, at all times, by Stripe’s list of Prohibited and Restricted Businesses (available at stripe.com/legal/restricted-businesses), as updated and amended from time to time.
- Payments to You.
- If you use the Service to accept payments from your Clients, Stripe will process and receive such payments. Mangomint will make commercially reasonable efforts to ensure that, within 3 business days after Stripe’s receipt of Client payments, Stripe will pay to you an amount equal to the Client Payment minus any applicable fees. We reserve the right to place limits on the amount and number of such payments in our sole discretion. These limitations may impact your ability to transfer funds from your Stripe account until the limitation is lifted. Our decision about limitations may be based on confidential or proprietary information. You agree that we have no obligation to disclose the details of our risk management or security procedures to you.
- All payments owed to you will be made in U.S. Dollars and payments will be made to your Stripe account. To ensure proper payment, you are responsible for providing us with, and maintaining, accurate contact and payment information. You may use the Mangomint Platform to (i) link a bank account that you own to your Stripe account and (ii) instruct a transfer of funds from your Stripe account to that linked account, subject to applicable limitations set forth herein.
- At any time, Mangomint may offset refunds, returns, credits, chargebacks, and other fees or amounts owed by you to Mangomint against amounts Mangomint owes to you. If any excess payment has been made to you for any reason whatsoever, Mangomint reserves the right to adjust or offset the same against any subsequent amounts payable to you.
- Mangomint reserves the right to place on hold any payments to you from Clients or otherwise place a restriction on the availability of funds in your Stripe account, or to not authorize or facilitate processing of any such payment, that Mangomint in its sole discretion believes may be: (i) received in connection with a violation of this Agreement or the Stripe Terms; (ii) related to fraudulent activity or illegal transactions; (iii) potentially necessary to respond to and comply with any legal process that Mangomint believes to be valid; or (iv) necessary to comply with any applicable law, rule, or regulation. When we place a temporary hold on a transaction, the funds related to that transaction are not available to either the payor or the payee, or to any other party. Our decision about holds may be based on confidential or proprietary information. You agree that we have no obligation to disclose the details of our risk management or security procedures to you.
- In addition to the above, we may (i) decide not to authorize or facilitate the processing of any transaction that you submit to us, (ii) refund a payment, or (iii) terminate your account if we believe in our sole discretion that the transaction or your account is in violation of this Agreement or exposes us or any third party to harm. Harm includes, but is not limited to, fraud and other criminal acts, as determined by Mangomint in its sole discretion. If we reasonably suspect that your account has been used for an unauthorized, illegal, or criminal purpose, you give us express authorization to share information about you, your account, and any of your transactions with law enforcement. We may also request information (including, but not limited to, information about services rendered, identity verification and copies of applicable professional licenses) from you at any time for any reason or no reason as part of internal ongoing reviews of transactions and accounts on the Services, and in particular, to assist in investigations of suspicious transactions or accounts. You hereby agree to provide us with such information and assistance in a timely manner and acknowledge that payment processing in connection with a suspicious transaction or account may be delayed until such transaction or account has been cleared by Mangomint, in its sole discretion. If you do not comply with Mangomint’s request for information and assistance pursuant to this Section 1.3(e), Mangomint reserves the right to prohibit you from using the payment processing services discussed in Section 1.1 of these Payments Services Terms until you have provided such requested information and assistance and are cleared by Mangomint. If your access to or use of the Services has been restricted or terminated by Mangomint, you may not register a new Mangomint account or attempt to access and use the Services through the Mangomint account of another user.
- Collection of Fees and Other Amounts. Mangomint may recoup or setoff Fees and other amounts you owe under this Agreement from your Stripe Account balance or invoice you for those amounts. If you fail to pay invoiced amounts when due, then Mangomint may, to the extent applicable law permits, deduct, recoup or setoff those amounts from the Stripe account balance of each Stripe account that Mangomint determines, acting reasonably, is associated with you or your affiliate.
- Claims and Disputes. You agree to provide Mangomint with any assistance Mangomint requests regarding the Payment Services and the processing of payment transactions between you and your Clients using the Payment Services. For any disputes or claims asserted by your Client related to a payment you accepted using the Payment Services, Mangomint may be required to request that you provide documentation or information relating to the transaction, and you agree to provide the requested information. Mangomint may provide such information to third parties for them to determine the outcome of such dispute or claim; for the avoidance of doubt, Mangomint is not responsible for any determinations or outcomes of such dispute or claim by third parties.
